The Merger of Energy Businesses Between Levanta Renewables (Thailand) Co., Ltd. and Daisy Solar Company Limited

SINGAPORE, 11 November 2025

Levanta Renewables (Thailand) Co., Ltd. (the Company), having its head office located at 388 Exchange Tower, 29th Floor, Room No. 2901-2904, Sukhumvit Road, Khlong Toei Subdistrict, Khlong Toei District, Bangkok 10110, is the parent company of Siam Solar Energy 1 Co., Ltd. that holds Electricity Generation Licenses issued by the Energy Regulatory Commission (the ERC) under the Energy Industry Act, B.E. 2550 (2007) (the Energy Industry Act) and the parent company of Sunflower Solar Co., Ltd., which controls the following companies that hold Electricity Generation License, with the objective of selling electricity to the Provincial Electricity Authority (the PEA):

  1. WRP Energy Co., Ltd.
  2. Sri Naga Power Co., Ltd.
  3. Media Mark Co., Ltd.
  4. North Solar Power Co., Ltd.
  5. WXA 4 Co., Ltd.
  6. WXA 5 Co., Ltd.
  7. WXA 6 Co., Ltd.
  8. WXA 7 Co., Ltd.

The Company will acquire 100% of the shares in Daisy Solar Co., Ltd. (“Daisy”), which has its head office located at 223/61, Country Complex Building, Tower A, 14th Floor, Sanphawut Road, Bang Na Tai Subdistrict, Bang Na District, Bangkok 10260. Daisy is the parent company of several license holders engaged in the electricity generation business. The share acquisition will be made from Super Energy Corporation Public Company Limited (45%), Super Water Co., Ltd. (35%), and Super Solar (Thailand) Co., Ltd. (20%). As a result, the Company will obtain control over six license holders operating solar power generation businesses. After the Company becomes the controlling entity of the said license holders, Daisy will acquire 100% of the shares in Apollo Solar Co., Ltd. from Super Solar Energy Co., Ltd. Consequently, the Company will have control over an additional license holder in the solar power generation business, making a total of seven companies. Altogether, these companies operate 18 projects with a total installed capacity of 94.33 megawatts, all of which are intended for the sale of electricity to the Provincial Electricity Authority (PEA), as follows:

  1. Power Technology International Co., Ltd.
  2. STFE Solar Co., Ltd.
  3. North East Future Energy Co., Ltd.
  4. Tang Sae Yiang Green Power One Co., Ltd.
  5. Solkit Solar Co., Ltd.
  6. Apollo Solar Co., Ltd.
  7. Electrica Asia Power Co., Ltd.

The Office of Energy Regulatory Commission (the ERC Office) has reviewed the qualifications of the merging parties and found that they fully comply with the relevant requirements under the Energy Regulatory Commission (ERC) Regulations re: Application for License and Permission for Energy Industry Operation, B.E. 2551 (2008) and its amendments.

To comply with the ERC Regulation re: Rules and Procedures for Mergers and Cross-shareholdings in Energy Business B.E. 2565 (2022), the ERC Office has announced the details of the proposed merger on the ERC’s official website to ensure public awareness. Interested parties or those who may be affected by the proposed merger are invited to submit their comments within the specified period.
